Article VI – Distributions Safeguards
Deep Dive: Article VI – Distributions Safeguards
Section 6.01 – General Distributions
Plain-English:
After the LLC meets its tax-advance obligations, the Managers decide if and when to distribute any remaining cash. Distributions flow pro rata by ownership percentage—except on a sale during a PV Legacy Capitalization Default, where PV Legacy takes a 20% haircut on its share.
Pros ✅
- Simple pro-rata split aligns with ownership.
- Sale penalty gives you a modest deterrent against PV Legacy’s funding lapses.
Cons ⚠️
- “When and in such amounts as determined by the Members” is pure discretion—PV Legacy could blockade distributions by withholding Member consent.
- No minimum schedule or mandatory distribution threshold, so you could go years without a dime.
- No carve-out for necessary reserves or debt service—Managers can hoard cash indefinitely.
Structural Risks
- Broad Manager/Members discretion invites abuse: PV Legacy can stall distributions to leverage governance votes or jockey for better terms.
Section 6.02 – Tax Advances
Plain-English:
The Company must use “commercially reasonable efforts” to send quarterly cash advances so each Member can cover its tax liability. If those advances fall short or exceed the actual tax bill, they get trued up after year-end.
Pros ✅
- Helps you budget for personal taxes.
- Limits surprise out-of-pocket tax checks.
Cons ⚠️
- “Commercially reasonable efforts” is a low bar—no guarantee of timely or full advances.
- Advances can be swept into general distributions, undermining their purpose.
Structural Risks
- PV Legacy can hide behind “commercially reasonable” to delay advances, forcing you to scramble for tax cash or accept interest charges when you reimburse the Company.
Section 6.03 – Tax Withholding & Withholding Advances
Plain-English:
If the Company must withhold tax on your share of income, it can (a) directly withhold from your distribution or (b) make a “withholding advance” and expect you to reimburse with interest.
Pros ✅
- Shifts compliance burden to the Company, avoiding unexpected personal withholding obligations.
Cons ⚠️
- If you fail to reimburse the advance, the Company can offset future distributions—another lever for PV Legacy to control cash flow.
Structural Risks
- No clear deadline for reimbursement: delays become another soft trap for withholding advances.
Section 6.04 – Distributions in Kind
Plain-English:
Instead of cash, you can get property or securities, valued at fair market value, split just like cash.
Pros ✅
- Flexibility if the Company wants to distribute a rental home or other asset.
Cons ⚠️
- Illiquid asset distributions can saddle you with burdensome property or securities you never wanted.
- No independent valuation requirement—Managers pick the appraiser.
Structural Risks
- PV Legacy could force you to take practically worthless assets in lieu of cash.
