Subject: Aligning on our PV Agreement and the upcoming EDA opportunity

Hi Scott,

I'm writing to ensure we're on the same page regarding the upcoming payment for our PV agreement. My goal is for us to keep everything running smoothly so we can successfully move forward on all our projects, including the potential TC sale.

I had a call with Rick Pendergast to clarify the formal process outlined in our contract, and I wanted to share the key takeaways so there are no surprises for either of us:

• Personal Liability: It's important to remember that the agreement holds the member personally liable for all obligations.

• Payment and Default Process: The agreement stipulates that a late payment would trigger a formal default process.

• Contingency for EDA Commission: On a related note, Rick advised that for us to formally engage you as a sales agent for the TC sale (with a signed EDA, LLC commission agreement), your PV account must be in good standing and not in default.

I wanted to make sure all of this was transparent and clearly communicated. My primary objective is to keep our partnership on track and avoid any of the formal procedures, which would be out of my hands once initiated.
