SUBJECT: Formal Notice of Capitalization Default and Right to Cure Under the Pleasant Valley Properties, LLC Operating Agreement
Dear Scott,
This letter constitutes formal notice that you are in material breach and Capitalization Default under the terms of the Pleasant Valley Properties, LLC Operating Agreement dated [Date of original agreement] (the "Agreement").
This default results from your failure to make the required capital contributions. Specifically:
The capital contribution of $15,000.00 due on July 1, 2025, was not paid.
The capital contribution of $15,000.00 due on August 1, 2025, was not paid.
The total amount required to cure this default is $30,000.00.
Pursuant to Section Article 1 Section 1.01 Capitalization Default of the Agreement, you have thirty (30) days from your receipt of this notice to cure the Capitalization Default.
To effect a cure, payment in full of the delinquent amount—$30,000.00 in cleared funds—must be delivered to the undersigned Managing Members within this 30-day period. Upon the expiration of the cure period, we will be entitled to immediately pursue all remedies afforded to us under the Agreement, including initiating the process to sell the Pleasant Valley property as outlined therein.
All rights and remedies available to us are expressly reserved. We recommend you consult with your legal counsel upon receipt of this notice.
